Terms & Conditions

1.1

These conditions shall apply to all contracts for the sale of goods by the seller to the buyer to the exclusion of all other terms and conditions including any terms or conditions which the buyer may purport to apply under any purchase order confirmation or order or similar document.

| 1.2 |
All orders for goods shall be deemed to be an offer by the buyer to purchase goods pursuant to these conditions.

| 1.2.1 |
Acceptance of delivery of the goods shall be deemed to be conclusive evident of the buyers acceptant of these conditions.

| 2. |
The buyer shall be deemed to have accepted the goods 24 hours after delivery to the buyer.

| 3.1 |
Goods supplied by the seller are warranted to accord with the normal limits of merchantable quality and no condition is made or implied nor is any other warranty given to be implied as to the suitability of goods for any particular purpose or for use under any specific conditions not withstanding that such purpose or condition may be known or made known to the seller. All other warranties conditions or terms relating to fitness of purpose merchantability or condition of the goods and whether implied by statute or common law or otherwise are excluded.

| 3.2 |
Any recommendations or suggestions relating to the use of any product by the company or its employees are given in good faith but the buyer must satisfy himself as to the suitability of the goods for his own particular purpose and all representations statements or warranties made or given by the seller its servants or agents (whether orally or in writing or in any of the sellers brochures catalogues and advertisements) regarding the quality and fitness or purpose of the goods or any of the goods are excluded.

Any products represented by the buyer to be faulty if returned to the seller and accepted by it as faulty will at the request of the buyer and if practicable be replaced as ordered or be limited to the price paid for those products only. In particular the seller shall be under no liability whatever to the buyer for any indirect or consequential loss and/or expense (including loss of profit) suffered by the buyer arising out of a breach by the seller of these conditions.

The seller shall not be responsible other that as a result of the negligence of itself or its employees for injury loss or damage of any kind or nature what so ever in respect of product supplied by the seller resulting from the possession, handling or use by the buyer or others where or not it is used alone or in combination with other products.

Should default be made by the buyer paying any sum due under any order as and when it becomes due the seller shall have the right either to suspend all further deliveries until the default be made good or to cancel the order so far as any goods remain to be delivered there under.

| 7. |
The buyer will notify the seller or any container damaged in transit within 24 hours from time of delivery.

| 8.1 |
Payment is by credit card/cheque prior to dispatch of goods.

| 8.2 |
For account customers our payment terms are 28 days net of invoice date. The seller reserved the right to charge interest on late payment at the rate of 4% above the minimum lending rate of HSBC Bank plc.

| 9.1 |
Title to the goods provided by the seller will not pass to the buyer until payment in full has been made to and received by the seller.

| 9.2 |
Not with standing that title to the goods does not pass the goods shall be at the buyers risk as from delivery.

| 9.3 |
The seller shall be entitled to recover the price (plus VAT) not withstanding that the title in any of the goods has not passed from the seller.

| 9.4 |
In the event of any dispute as to the passing of the title in any goods tilt shall be deemed to have not passed unless the buyer proves conclusively to the contrary in each case.

| 10. |
Force Majeure. The seller shall not be liable for any default due to any act of god, war, strike, lockout, industrial action, fire, flood, draught, tempest or other event beyond its control.
